Research updated: 27 October 2026. इसमें eligibility के लिए post-issue paid-up capital के बजाय estimated market capitalisation, retail application size, secondary-market trading lot, allotment, promoter lock-in और Main Board migration जैसे बदलाव प्रस्तावित हैं।
SME IPO Consultation 2026
SME का अर्थ Small and Medium Enterprises है। SEBI (Issue of Capital and Disclosure Requirements) Regulations,
उसमें “recommended”, “proposed”, “it is proposed” और “public comments” जैसे शब्द भविष्य की संभावित दिशा बताते हैं।
SME IPO segment
ये historical data का as-of snapshot है, आज live share-price या latest October count नहीं।
Paid-up capital और market capitalisation में अंतर
Existing SME eligibility arrangements post-issue paid-up capital thresholds Paid-up capital equity shares
Hypothetical example: अगर post-issue total shares 2 करोड़ हों, face value ₹10 हो और IPO issue price ₹200 हो, paid-up capital ₹20 करोड़ तथा estimated post-issue market cap ₹400 करोड़ हो सकती है। Market cap को superior quality score नहीं मानें—offer price inflated हो तो same earnings पर high valuation दिखाई दे सकती है।
DRHP, RHP और valuation change का real-world case
Investor के लिए allotment अब भी subscription category, available shares तथा final basis of allotment पर निर्भर रहेगा।
DRHP के “Objects of the Offer” तथा selling shareholders section पढ़ें। यही source-based financial analysis headline-only investment hype से अलग होता है।
Promoter lock-in proposals:
Working Group ने promoter contribution और excess holdings के lock-in rules को simplify करने, कुछ non-promoter pre-issue holdings का proposed lock-in घटाने और depository mechanism से non-transferability record करने जैसे proposals दिए हैं। Document में existing staged lock-in structures और proposed shorter uniform periods की तुलना है।
Investor को current issuer offer document में promoter contribution, pledged shares, related-party transactions और lock-in schedules देखना चाहिए। Promoter shares का locked होना short-term price rise guarantee नहीं; lock-in expiry के आसपास increased free float और selling pressure संभव है।
Existing migration rules paid-up capital

Public comments SEBI
SEBI ने separate advisory में invitation-only WhatsApp stock tips से investors को सावधान किया है।
